SUMMARY:
The Corporate Paralegal will assist the Healthcare Practice Group. This person will provide assistance on general commercial matters including contracts, mergers, acquisitions, consolidations, corporate reorganizations, joint ventures, alternative delivery systems, home health care, tax matters, real estate and corporate matters) and regulatory matters.
The ideal candidate will know how to meet the Firm’s standards of excellence in supporting our attorney teams and will play an active role in helping the Firm to provide legal services of the highest caliber to our clients.
KEY RESPONSIBILITIES:

Able to form and dissolve various business and entities in NY, NJ, FL and CT
-
Register (not-for-profit) entities with NY State Charities Bureau and apply for both federal and state tax exemptions answering client billing and payment queries timely and accurately

Conduct lien searches and assist attorneys with closings
-
Draft audit response letters
-
Calculate Delaware franchise tax (both methods); also calculate franchise tax for other jurisdictions
-
Assist with drafting of secured lending certificates and consents
-
Assist in due diligence matters
-
Prepare and file incorporation and formation documents, typically in Delaware but also other jurisdictions.

REQUIRED SKILLS:

5+ years of corporate paralegal experience in a law firm
