SUMMARY:
The Corporate Paralegal will assist the Healthcare Practice Group. This person will provide assistance on general commercial matters including contracts, mergers, acquisitions, consolidations, corporate reorganizations, joint ventures, alternative delivery systems, home health care, tax matters, real estate and corporate matters) and regulatory matters.

The ideal candidate will know how to meet the Firm’s standards of excellence in supporting our attorney teams and will play an active role in helping the Firm to provide legal services of the highest caliber to our clients.
 

KEY RESPONSIBILITIES:

  • Able to form and dissolve various business and entities in NY, NJ, FL and CT

  • Register (not-for-profit) entities with NY State Charities Bureau and apply for both federal and state tax exemptions answering client billing and payment queries timely and accurately

  • Conduct lien searches and assist attorneys with closings

  • Draft audit response letters

  • Calculate Delaware franchise tax (both methods); also calculate franchise tax for other jurisdictions

  • Assist with drafting of secured lending certificates and consents

  • Assist in due diligence matters

  • Prepare and file incorporation and formation documents, typically in Delaware but also other jurisdictions.

  • Calculate Delaware franchise tax (both methods); also calculate franchise tax for other jurisdictions

  • Pre-closing: Handle signature page distribution; Prepare closing certificates; Prepare closing files

  • Order certified copies and good standing certificates

  • Identify and resolve problems that arise

  • Assist with UCC statements

  • Review collateral description

  • Prepare initial draft of closing checklist

  • Assist with closing, including track down signature pages, file in dates, track down final agreements and provide general support

  • Prepare closing book index and assembles closing book.

 

REQUIRED SKILLS:

  • 5+ years of corporate paralegal experience in a law firm

  • College degree preferred

  • Superior verbal and written communication skills

  • Excellent proofreading skills and a detail-oriented work manner

  • Available to work overtime is required and you must be available as needed

SUMMARY:

  • Pre-closing: Handles signature page distribution. Prepares closing certificates. Prepares closing files.

  • Orders certified copies and good standing certificates

  • Prepare, draft and files UCC statements, amendments and termination statements

  • Review collateral description

  • Obtained EINs from the IRS

  • Managed minutes, charters, bylaws, company agreements, partnership agreements and related corporate documents

  • Generate reports through Microsoft Access

  • Track investor information through Microsoft Access

  • Maintains and organizes minute books

 

REQUIRED SKILLS:

 

  • 7+ years of Corporate Paralegal experience in a law firm

  • Proficient in MS Office; knowledge of Westlaw or LexisNexis preferred

  • Articulate and professional demeanor and detail oriented work manner

  • Strong written and verbal communication skills

  • The ability to multitask, work well under pressure and complete assignments in an accurate and timely manner

  • Maintain confidentiality and exercise a high standard of judgment and discretion

  • Flexibility to work overtime as needed

SUMMARY:

 

Responsible for managing large discovery, creating and managing databases and imaging systems, supervising teams, preparing for trials in Federal court, and managing trial support.

 

KEY RESPONSIBILITIES:

 

  • Work with all of the attorneys on the matter from the beginning through trial or arbitration, managing the flow of information and ensuring adherence to best practices interact with vendors and directly with government agencies (e.g. Patent & Trademark Office) to obtain information and materials, such as certified copies of patents, file and file wrappers

  • Work with the client and their in-house legal staff to collect relevant electronic and paper documents and data, as well as assisting at client interviews and on-site document reviews

  • Design and manage the document review process to help identify and track potentially responsive, confidential and privileged materials

  • Help compile information necessary to respond to interrogatories, document requests and requests for admission served on their clients

  • Set up databases, either on-line or in-house, obtaining assistance and support as necessary from Litigation Support and from outside vendors

  • Help attorneys prepare for depositions by arranging the preparation of witness files, compiling and organizing exhibits, and arranging the technical logistics with court reporting agencies

  • Research prior testimony and publications, and track materials sent to the experts

  • Manage deposition transcripts and exhibits, and maintain searchable computer databases of testimony

  • Work with the attorneys during the briefing process by checking the legal and fact cites, and ensuring proper formatting style

  • Responsible for assembling and organizing the exhibits and supporting documents as well as arranging for filing with the court and serving on all parties

  • Work with the attorneys, experts, and client to identify and compile potential trial exhibits, generate trial exhibit lists, and track objections to both sides exhibits

  • Prepare deposition designations, and compile Pretrial Orders and other submissions

  • Coordinate the scheduling of witnesses for preparation and testimony

  • Set up and manage off-site trial offices, arranging for all office support and logistics

 

REQUIREMENTS:

 

  • 5+ years of Patent Litigation experience

  • Strong proficiency with litigation support applications, i.e. Relativity, Concordance, Summation, etc.

  • Prior experience with setting up war rooms and managing case activity
